Smash General Terms and Conditions (T&C)
These SMASH General Terms and Conditions govern access to and use of the smash.mc website as well as the terms of sale of services offered online.
Specific Terms by Product
Access directly the specific terms and conditions for each SMASH service:
1. Definition and scope
These SMASH General Terms and Conditions (hereinafter the "General Terms") govern:
- access to and use of the smash.mc website (the "Terms of Use"),
- as well as the terms of sale of services offered online (the "Terms of Sale"),
by NUMERICA, a Limited Liability Company (SARL) with capital of €15,000, whose registered office is located C/O Monaco Boost, 4/6 avenue Albert II, Zone F, 98000 Monaco, registered with the RCI of Monaco under number 25S10039, EU VAT number FR56000187160 (hereinafter "SMASH").
The Specific Terms applicable to .mc domain names (SMASH DNS) supplement these General Terms and prevail in case of contradiction.
By accessing the Site or using the services, the User ("You") acknowledges having read, understood and unreservedly accepted these General Terms. SMASH reserves the right to modify the General Terms at any time. The version in force is that published on the Site on the date of consultation.
2. Purpose of the Site and Services
The SMASH Site allows in particular:
- to consult information relating to SMASH;
- to create and manage a User Account;
- to purchase online services marketed by SMASH;
- to manage acquired services;
- to contact SMASH support.
Services offered via the Site are governed by these General Terms of Sale (Terms of Use) as well as, where applicable, Specific Terms for each service.
3. User Account creation and management
3.1. Creation conditions
Creating a User Account is mandatory to order or manage a SMASH service.
The User undertakes to provide accurate, complete and up-to-date information, in particular a valid and unique email address.
Any modification must be updated without delay from the personal space.
3.2. Credentials
You are responsible for the confidentiality of your username and password.
Any action performed from your account is deemed to be yours or that of an authorized person.
3.3. Legal capacity
By using the Site, you declare that you are at least 18 years old or have the required legal capacity.
4. User obligations
You undertake to:
- not impersonate a third party;
- not attempt to access an account other than yours;
- not interfere with the functioning of the Site;
- not use the Site for fraudulent, illegal or contrary to public order purposes;
- comply with applicable laws and regulations in the Principality of Monaco;
- comply with the General Terms and applicable Specific Terms.
SMASH reserves the right to suspend or delete any account that does not comply with these obligations.
5. Site access and security
SMASH implements reasonable means to ensure the security and proper functioning of the Site, without being bound by an obligation of result. Access to the Site may be temporarily interrupted for maintenance, updates or in case of failure independent of SMASH. SMASH does not guarantee that the Site is free from errors, interruptions or unauthorized access.
6. Service availability
SMASH implements a best efforts obligation to ensure Site availability.
However, SMASH cannot be held responsible in case of:
Internet network failure, planned maintenance, external server failure, external cause or force majeure.
7. Intellectual property
Any reproduction, representation or distribution, in whole or in part, of the Site content or any element belonging to SMASH is strictly prohibited without prior written authorization. Denominations, logos, trademarks and content belonging to SMASH remain the exclusive property of NUMERICA SARL.
8. Data provided by the User
Content transmitted (messages, technical requests, organizational information, etc.) must not:
- infringe the rights of a third party;
- contain defamatory, illegal or malicious elements;
- contain viruses or code intended to harm the Site.
SMASH reserves the right to delete any non-compliant content.
9. Personal data
Personal data collected is processed in accordance with:
- Monegasque legislation,
- and the SMASH Privacy Policy available on the Site.
They are necessary for account creation, billing, service management and customer relations.
10. Cookies
The Site may use cookies to improve user experience. The User is informed of their purpose and may refuse or configure cookie usage via the banner or browser settings.
11. Hyperlinks
The Site may contain links to third-party sites. SMASH exercises no control over these sites and disclaims all responsibility for their content, operation or compliance.
12. Financial conditions
12.1. Prices
Current rates are displayed on the Site.
The displayed price includes all fees necessary for registration and annual maintenance of the service, in accordance with Monegasque regulations.
No additional fees will be charged to the Client, except for specific requests subject to a prior quote accepted by the Client.
12.2. Payment
Payment is made exclusively online. Payment must be full for the order to be taken into account.
12.3. Invoicing
An invoice compliant with Monegasque provisions is made available to the Client in their personal space after payment.
13. Additional services on quote
Any request for technical intervention or service not included in the annual subscription (e.g.: personalized support, exceptional operations, advanced configuration) will be subject to:
- a prior study,
- a quote,
- then the express agreement of the Client.
14. Account suspension and deletion
SMASH may suspend or delete a User Account, with or without notice, in case of:
- violation of these Terms of Use;
- fraudulent or illegal use of the Site;
- false information provided during registration;
- non-compliance with contractual obligations.
Account deletion does not entitle to any compensation.
15. Account termination by the User
The account Administrator may at any time permanently delete their Account from their user space.
Account deletion results in immediate termination of all access, subject to settlement of ongoing contractual obligations.
Some data may be retained to meet SMASH's legal obligations.
16. Limitation of liability
SMASH cannot be held responsible for:
- use of the Site by the User;
- any data loss resulting from non-compliant use of the Site;
- indirect, immaterial or consequential damages (loss of revenue, image, etc.);
- facts resulting from force majeure.
SMASH's total liability is limited to sums actually paid by the User for the services concerned over the last twelve (12) months, except for gross negligence or fraud.
17. Force majeure
Neither SMASH nor the User may be held responsible in case of non-performance related to an event meeting the criteria of Monegasque law on force majeure.
14 Bis - Proof and archiving
SMASH's computer records (logs, confirmations, electronic exchanges) are considered valid proof of operations carried out via the Site.
15 Bis - Applicable law and competent jurisdiction
These Terms of Use are governed by Monegasque law.
Any dispute relating to the use of the Site falls under the exclusive jurisdiction of the courts of the Principality of Monaco.
SMASH DNS Specific Terms and Conditions
These Specific Terms and Conditions supplement the General Terms and Conditions of Use and Sale of SMASH and apply specifically to the SMASH DNS service.
1. Object
These Specific Terms define the terms and conditions applicable to the reservation, registration, management, renewal, transfer and administration services of .mc domain names offered by SMASH.
2. NIC Monaco registry rules
.mc domain names are subject to the rules, procedures, naming policies and administrative requirements established by NIC Monaco, the official registry of the .mc ccTLD.
The Client acknowledges having read the applicable rules and undertakes to comply with them.
In case of contradiction between these Specific Terms and the NIC rules, the latter prevail.
3. Registration and availability
The Client may request registration of a .mc domain name via their SMASH personal space.
Registration is subject to:
- availability of the chosen name;
- compliance with eligibility rules imposed by NIC Monaco;
- final validation by the registry.
SMASH does not guarantee name availability before official NIC confirmation.
In case of unavailability or refusal of registration by the registry: the order is cancelled; amounts paid are fully refunded; no additional compensation may be claimed.
4. Duration and renewal
.mc domain names are registered for a period of one (1) year.
The Client is solely responsible for tracking expiration dates.
SMASH sends notifications to the billing contact at the following deadlines:
- 30 days before expiration;
- 15 days before expiration;
- 5 days before expiration;
- on the day of expiration.
Without full payment of renewal before expiration, the domain is not renewed and follows NIC procedures (suspension then deletion).
SMASH does not guarantee recovery of an expired domain.
5. Holder data and WHOIS obligations
The Client undertakes to provide accurate, complete and current information for domain name registration, and to update it within a maximum period of fifteen (15) days in case of modification.
Holder data (identity, email address, etc.) is transmitted to NIC and published in the WHOIS database, in accordance with registry rules.
NIC may suspend or delete a domain in case of:
- false, inaccurate or incomplete information;
- failure to update;
- non-response of the holder to verification requests.
The Client assumes full responsibility for the consequences of any inaccuracy.
6. Reversibility and transfer
The Client may request transfer of their .mc domain name to another provider, subject to compliance with NIC Monaco rules.
SMASH never opposes an outgoing transfer as long as the Client has paid all amounts due.
No fee is charged by SMASH for an outgoing transfer.
The initial one-year commitment – or remaining portion – does not entitle to any refund.
7. Right of withdrawal
7.1. Legal right
The consumer Client has a legal period of seven (7) clear days from the conclusion of the contract to exercise their right of withdrawal.
Any request must be made in writing, by registered mail or by any means allowing acknowledgment of receipt.
7.2. Exclusion of right of withdrawal
Registration of a .mc domain name constitutes a digital service executed immediately, the procedure of which is irreversible from its initiation.
The Client acknowledges that, as soon as SMASH begins execution of the service:
- registration is irrevocable;
- the right of withdrawal can no longer be exercised.
7.3. Registration refusal
In case of registration refusal by NIC:
- the contract is deemed to have produced no effect;
- SMASH fully refunds amounts paid;
- or, at the Client's request, SMASH proceeds without additional cost to a new request for another name compliant with registry rules.
No additional compensation may be claimed.
7.4. Express waiver
By validating their order, the Client expressly requests immediate execution of the service and thereby waives their right of withdrawal from the beginning of the registration procedure.
8. Prohibited uses
The Client undertakes not to use their domain name for activities contrary to:
- Monegasque law;
- public order or good morals;
- NIC Monaco rules.
In particular prohibited: phishing, fraud, malware distribution; illegal content or infringing third-party rights (trademarks, protected works, denominations…); fraudulent activities; identity theft.
NIC may suspend or delete the domain in case of breach.
9. License
The Client may grant a third party a license to use the domain name.
The license does not constitute a transfer: the Client remains the official holder and remains responsible to SMASH and NIC for any use of the domain.
10. Rates, payment and price modification
Registration and renewal rates are available on the SMASH website and may be modified at any time.
Payment is due immediately. No refund is due in case of suspension or deletion of the domain by NIC.
SMASH may adjust its rates, in particular in case of modification of the NIC scale. New rates apply to any order subsequent to their publication.
11. Additional services
SMASH may offer additional services related to DNS management, redirects or technical configurations.
These services are subject to these terms and, where applicable, to their own specific terms.
12. Security and Client responsibility
The Client is solely responsible for:
- the security of their SMASH space;
- keeping their credentials;
- actions performed from their account, even fraudulent ones.
SMASH cannot be held responsible in case of unauthorized access due to Client negligence.
13. Suspension and deletion
A domain name may be suspended or deleted by SMASH or by NIC in case of:
- non-compliance with registry rules;
- payment default;
- inaccurate WHOIS data;
- illegal or abusive use;
- Monegasque judicial or administrative decision.
14. Disputes relating to .mc domain names
Disputes concerning a .mc domain name are subject to procedures provided by NIC Monaco.
The Client accepts that NIC decisions concerning disputes are fully opposable to them.
15. SMASH liability
SMASH is bound by a best efforts obligation. SMASH's liability cannot be engaged in particular in case of:
- refusal or deletion of the domain by NIC;
- error from data provided by the Client;
- dispute relating to a prior right;
- external interruption or malfunction (Internet, registry, etc.);
- force majeure event.
In any case, SMASH's liability is limited to the amount paid for the service concerned over the last twelve (12) months.
16. Service continuity & cessation of activity
In case of cessation of activity or discontinuation of .mc domain marketing by SMASH, the latter undertakes to:
- inform the Client within a reasonable period;
- facilitate transfer of the domain to another provider approved by NIC Monaco.
17. Force majeure
SMASH cannot be held responsible for a breach resulting from an irresistible, unforeseeable and external event, as defined by Monegasque law.
18. Applicable law and competent jurisdiction
These Specific Terms are governed by Monegasque law. Any dispute will be submitted to the exclusive jurisdiction of the courts of the Principality of Monaco.
